  • Carver Model (Policy Governance): This model separates governance and operations entirely. The board focuses solely on policy-making, leaving all operational decisions to the CEO. While it provides clarity, it can be complex to manage.
  • Hybrid Model: A blend of different models, often using elements of traditional governance with other decision-making structures. It’s flexible and adaptable, making it easier to tailor to an organization’s specific needs.

The key is not just picking a model, but ensuring it’s used properly. Before diving into a new model, ask: Is the model itself the issue? Often, the problem is not the model but poor processes—weak agendas, unclear policies, or ineffective facilitation. If the model doesn’t align with your goals, consider making a switch.

  1. Define Your Goals: What outcomes are you aiming for? More focused meetings? Faster decision-making?
  2. Fix What’s Broken: Identify whether it’s the model or just processes that need tweaking.
  3. Engage Stakeholders: Get feedback without getting bogged down in too many opinions.
  4. Document & Train: Make sure everyone understands the governance framework and has the tools to implement it.
